Terms of Service
These Terms govern your use of the BD Nexa AI website (bdnexa.in) and any service, programme, or product offered by BD Nexa AI Solution (collectively, "BD Nexa," "we," "us"). By using our site or engaging us, you agree to these Terms.
1. Who we are
BD Nexa AI Solution is an AI software and training business based in Kolkata, India. We operate two divisions: BD Nexa AI Solution (services) and BD Nexa AI Skill Development Academy (training programmes).
2. Services we offer
- Build — custom apps, SaaS products, websites.
- Automate — workflow and business automation, AI agents.
- Grow — ad-video production, digital marketing.
- Academy — AI Mastery Program, AI Revenue Accelerator, English Communication with AI, and related programmes.
3. Engaging us
Service engagements are confirmed by a written proposal or invoice. Each engagement may have its own scope, deliverables, timeline, and commercial terms which sit alongside these Terms. In case of conflict, the engagement-specific document prevails.
4. Payments
- Service quotes are project-specific and shared after the discovery call.
- Most builds use a milestone-based payment plan with an upfront deposit.
- Retainers are billed monthly in advance.
- Academy fees are payable as per the cohort terms; instalment options may be available.
- Payments may be made by UPI, bank transfer, or Stripe.
- All fees are exclusive of applicable taxes (GST), which will be added where required.
5. Refunds & cancellations
- Service projects — milestone payments are non-refundable once that milestone's work has begun, but unutilised retainer balance is pro-rated and refundable on 30-day notice.
- Academy programmes — fees are refundable within 7 days of cohort start, less administrative costs and any session-specific costs incurred. After 7 days, fees are non-refundable; we may offer credit transfer to a future cohort on a case-by-case basis.
- Specific refund terms in your engagement document override this section.
6. Intellectual property
- Final deliverables produced for a client are owned by the client on full payment, subject to any third-party tooling, libraries, or licences whose terms continue to apply.
- BD Nexa retains ownership of frameworks, code patterns, internal tools, and methodologies used to deliver the work.
- Academy course content, recordings, and materials remain BD Nexa's property and may not be reproduced or distributed without written permission.
7. Confidentiality
We treat client and learner information as confidential and only share it with service providers necessary to deliver the engagement. Both parties may sign a separate NDA where appropriate.
8. Results & warranties
We work with care and craft, but we do not guarantee specific business outcomes (revenue, leads, rankings, jobs, etc.). Past results referenced anywhere on this site are illustrative, not promises.
9. Limitation of liability
To the maximum extent permitted by law, BD Nexa's total liability under any engagement is limited to the fees received from the client under that engagement in the three months immediately preceding the claim. We are not liable for indirect, consequential, or punitive damages.
10. Use of the website
You agree not to misuse this site, attempt to disrupt it, scrape content, or use it for unlawful purposes. Content on this site is provided for general information and may change without notice.
11. Governing law
These Terms are governed by the laws of India. Disputes will be subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal.
12. Changes
We may update these Terms. Material changes will be reflected by updating the "last updated" date above and, where appropriate, by direct notice to active clients.
